In accordance with the aforementioned approvals, the Ordinary General Assembly discharges the Board of Directors without any reserves for their management for the 2005 financial period.

FIFTH RESOLUTIONS |
Further to the proposal of the Ministry of Finance and in accordance with clause 34 of the Bank’s Articles of Association, the Ordinary General Assembly approves the appointment of Mr Maher ZOUARI as a director in replacement of Mr. Kamel NAJI as from July 15t h, 2005.

SIXTH RESOLUTION |
Further to the proposal of the Board of Directors, the Ordinary General Assembly approves the re-appointment of the external Auditor : “la Générale d’Audit et Conseil”. It also approves the appointment of a second external Auditor named : “MAZARS”.

SEVENTH RESOLUTION |
The Ordinary General Assembly gives full powers to the bearer of a copy or an abstract of the minutes of its proceedings to undertake all legal procedures regarding publication or registration thereof
